Silversea leaders stay on to guide strategy; significant synergies expected

MIAMI, June 14, 2018 /PRNewswire/ -- Royal Caribbean Cruises Ltd. (NYSE: RCL) and Manfredi Lefebvre D'Ovidio today announced an agreement for RCL to acquire a stake in privately-owned Silversea Cruises, bringing together two companies with bold, long-term visions for the cruise industry.

Under the agreement, Royal Caribbean will acquire a 66.7% equity stake in Silversea Cruises based on an enterprise value of approximately $2 billion. The purchase price of the equity being acquired is approximately $1 billion. RCL plans to finance the purchase through debt. In addition, Lefebvre will qualify for an estimated contingent consideration of approximately 472,000 RCL shares, payable upon achievement of certain 2019-2020 performance metrics.

The strategic rationale for the partnership includes:

Driving long-term capacity growth in the burgeoning luxury and expedition markets at a much larger scale than what Silversea would achieve independently;

Diversifying Royal Caribbean's portfolio and increasing its expedition offerings by adding a premiere ultra-luxury brand;

Leveraging the global footprint of the combined companies to generate demand and increase vacation and destination options for the guests of both companies;

Realizing significant synergies related to global market access, supply chain, purchasing power and other economies of scale.

Lefebvre said he is confident that the significant investment stake he is retaining will sizably increase its value through the growth this long-term partnership will enable.

Lefebvre and Fain also confirmed that Silversea's CEO Roberto Martinoli will continue in his role, working with the existing Silversea management team.

Silversea, with its intimate, all-suite ships, full spectrum of global cruise offerings sailing to more than 1000 global destinations, and unique luxury expedition vessels, adds a pioneering ultra-luxury brand to RCL's industry-leading brand lineup. RCL's largest brand, Royal Caribbean International, is a contemporary brand focused on adventure-seeking families, Celebrity Cruises is a premium brand providing a modern luxury experience to discerning global travelers, and Azamara Club Cruises is a destination immersive brand offering luxury voyages to unique ports. The company also operates the regional TUI Cruises and Pullmantur brands as part of long-term joint ventures.

The closing is expected to be completed later in the year, subject to customary closing conditions and regulatory approvals.

Regarding 2018, Royal Caribbean reconfirmed its latest adjusted EPS guidance of $8.70 to $8.90 per share. This updated guidance does not include any potential impact from the transaction, although RCL does not expect the transaction to materially impact near-term adjusted earnings per share.

Operationally, the company's forecast for the third and fourth quarters has remained unchanged, but increases in the market price of fuel and the strength of the dollar are expected to cost the company roughly 25 cents per share. Fortunately, strong close-in demand for core products and better than expected performance below the line is expected to drive improved results for the second quarter. These improved results are expected to completely offset the impact of the FX and fuel headwinds in the second half of the year, which allows the company to maintain its guidance for 2018.

Und ich hatte mich schon gewundert warum SC flott neue Schiffe bestellt...

Aber wie wird SC dann wohl gegen Azamara positioniert?

The companies announced today they have closed on RCL's acquisition of a two-thirds stake in Silversea after receiving final approval from regulators. The investment unites two leading players in the cruise industry and fills out RCL's portfolio of cruise brands across all key market segments.

"We are proud to officially welcome Silversea's industry-leading team to the RCL family," said Richard D. Fain, Chairman and CEO of Royal Caribbean Cruises Ltd. "This is a dynamite combination and we can't wait to work with Manfredi, Roberto and the entire team as together we take Silversea to the next level."

Regulators green-lighted Royal Caribbean's purchase of a 66.7% equity stake in Silversea Cruises, based on an enterprise value of approximately $2 billion. Manfredi Lefebvre d'Ovidio will remain Executive Chairman of Silversea and retain a 33.3% stake.

"We're excited to join the Royal Caribbean family and ready to begin this next chapter as part of an industry leader that is uniquely qualified to support Silversea's future growth," said Lefebvre. "This partnership enables us to realize our vision of being the uncontested leader in ultra-luxury cruising and expedition, taking our guests to more than 1,000 destinations aboard some of the world's most luxurious vessels."

The companies also announced Project Invictus, a multi-year initiative to take Silversea's ultra-luxury offerings to the next level. Project Invictus enhancements range from product upgrades to magnified ship revitalization programs. "Our intent is to solidify our already strong leadership position with an exciting array of upgrades that thrill our guests," said Roberto Martinoli, Silversea CEO.

The first Invictus enhancements will begin rolling out on the Silver Muse this upcoming August 19th where an upgraded champagne and caviar offering will be initiated. Immediately thereafter, these and other enhancements will be implemented fleet wide, impacting a wide variety of onboard features and strengthening Silversea's reputation for indulgent, luxurious embellishments.

Silversea's growing fleet of ultra-luxury ships will also benefit from an upgrade. The planned renovation of Silver Whisper in December 2018 will be much more comprehensive than initially anticipated and will include a partial refit of all guest cabins. Moreover, Silversea's Silver Wind will also enter into an enhanced dry dock in December 2018. Both vessels will join the overarching plan for a fleet-wide "Musification" which will take inspiration from the design of the very successful cruise line's flagship, Silver Muse. The plan will be completed shortly after with an enhanced dry dock of the Silver Shadow.

With Silversea joining the RCL lineup alongside Royal Caribbean International, Celebrity Cruises, Azamara Club Cruises, TUI Cruises and Pullmantur Cruceros, the Royal Caribbean Cruises Ltd. fleet now numbers 59 ships with an additional 15 on order.

J.P. Morgan Securities LLC acted as a financial advisor to RCL as well as served as the lead arranger for the debt financing in respect to the transaction.

Silversea Cruises, Pionier und Branchenführer im ultra-luxuriösem und Expeditionskreuzfahrt –Segment, ist offiziell Teil der Royal Caribbean Cruises Ltd. Familie (NYSE: RCL).

Die Unternehmen verkündeten, der Erwerb Zweidrittel der Silversea-Anteile durch RCL, nachdem die finale Bestätigung der Aufsichtsbehörden erfolgte. Die Investition verbindet zwei führende Akteure in der Kreuzfahrt-Industrie und bereichert das Portfolio von RCL in allen entscheidenden Markt-Segmenten.

Die Aufsichtsbehörden gaben grünes Licht für den Kauf von 66,7 Prozent der Silversea Cruises Anteile durch Royal Caribbean, basierend auf einem Unternehmenswert von 2 Milliarden U.S.-Dollar. Manfredi Lefebvre d’Ovidio bleibt Executive Chairman von Silversea und behält 33,3 Prozent der Anteile.

Die Unternehmen haben darüber hinaus Project Invictus vorgestellt – eine mehrjährige Initiative, um Silverseas ultra-luxuriösen Angebot auf das nächste Level zu heben. Die ersten Invictus Verbesserungen starten mit der Silver Muse ab dem 19. August, wo es fortan ein noch verbessertes Champagner- und Kaviar-Angebot geben wird. Direkt im Anschluss werden dieses und weitere Angebote auf die gesamt Flotte ausgeweitet. Dies wird auf eine Vielfalt an weiteren Angeboten an Bord ausgeweitet und stärkt Silverseas Ruf als Anbieter von luxuriösen Kreuzfahrten.

Silverseas wachsende Flotte an ultra-luxuriösen Schiffen wird ebenfalls aufgewertet. Die geplante Renovierung der Silver Whisper im Dezember 2018 wird umfassender als ursprünglich erwartet und beinhaltet Nachrüstung der Gäste-Suiten. Darüber hinaus geht auch Silverseas Silver Wind ins Trockendock im Dezember 2018. Beide Schiffe werden nach dem überspannenden Plan der “Musification” überarbeitet. Die Renovierungen werden inspiriert vom Design der erfolgreichen Silver Muse. Komplettiert wird das der Plan, nachdem die Silver Shadow ins Trockendock geht.

Mit dem Zugang von Silversea besteht die RCL Markenwelt aus Royal Caribbean International, Celebrity Cruises, Azamara Club Cruises, TUI Cruises und Pullmantur Cruceros. Die Royal Caribbean Cruises Ltd. Flotte zählt nun 59 Schiffe mit weiteren 15 Schiffen in der Entwicklung.

MIAMI, July 10, 2020 /PRNewswire/ -- Royal Caribbean Group (NYSE: RCL) has purchased the remaining shares of Silversea Cruises, a pioneer and leader in ultra-luxury and expedition cruising.

The move to full ownership comes two years after Royal Caribbean Group acquired a two-thirds share of the cruise line in July 2018.

"Silversea has been a great fit for our company from the very first day," said Richard D. Fain, Chairman and CEO of Royal Caribbean Group. "The cultures of the two organizations have proven to be harmonious, and guests have responded favorably to the combination."

Manfredi Lefebvre d'Ovidio, who took over the company from his late father, will serve as chairman of Silversea. Roberto Martinoli will remain the brand's president and CEO.

Hich hoffe, das wurde hier noch nicht geschrieben, ich habe es jedenfalls nicht gefunden. Royal Caribbean hat die Silver Galapagos verkauft. Einen besseren Artikel habe ich bisher nicht gefunden. Dazu kommt ein Celebrity-Schiff, ich nehme an die Xperience oder die Xploration.

ich kann mich nur erinnern, dass mit der Celebrity Flora die Xpedition vorübergehend außer Dienst genommen wurde. Die Reedereien haben wohl nur eine bestimmte Passagierzahl genehmigt bekommen. Hier steht mehr dazu. Dann im November 2019 ist die Xpedition auf Grund gelaufen (ohne weitere Schäden).

Ist also vielleicht eher im Rahmen der allgemeinen Flottenerneuerung zu sehen, weniger pandemiebedingt.

War nicht noch eine Schwester zur Flora geplant?

Handelt es sich bei der angedachten Flora-Schwester nicht um Silverseas "Origin"? Irgendwo habe ich mal ein rendering gesehen, dass ein Schiff der Flora-Klasse als "Celebrity Origin" zeigte.

das macht sicher Sinn!

Mal abgesehen davon, dass Celebrity gar keine Lizenz für insgesamt 200 Personen hat. Daher musste ja auch die Passagierzahl der Xpedition angepasst werden. Ein zweites Schiff wäre allenfalls in anderen Regionen möglich.

der Artikel ist hinter einer Paywall. Daher wissen wir auch nicht, welches Schiff von Celebrity verkauft wurde. Nur das Silverseas Schiff ist klar. Aber ich vermute mal, dass die Käufer nicht bekannt sind.

Jetzt ist die Quelle öffentlich einsehbar (sicherlich wäre das auch an anderer Stelle zu finden). Die Xperience geht an Emerald Blue Cruises, neuer Name: Emerald Dream.

Das Schiff wurde von Panama nach St.Kitts & Nevis umgeflaggt.
